Navigating Italian Real Estate: The Meaning of Compromesso

Also known as “compromesso di vendita” or “preliminare di vendita”, a “compromesso” is a preliminary sales contract that’s drawn up by a notary and signed by both parties in front of them. It comes after the negotiation price phase and before the buyer pays a deposit and helps streamline the process.
When a buyer finds a property and has an offer accepted, it’s worth negotiating an exclusivity period of a few weeks, if possible. By doing that, they allow time for checks to be carried out and any risks identified.

Having a compromesso isn’t mandatory in Italy (people often substitute it with a private contract), but if the prospective buyer and seller do have one, it’s drawn up after due diligence is completed.
That way, if the buyer is notified of any issues (for example, part of the property was illegally built or extended), they can negotiate with the seller to rectify the situation. That information and any other conditions form part of the compromesso, including deadlines.

In short, a compromesso defines the conditions that are required for the final deed to be signed. It’s there to protect the buyer, but the seller also benefits. Why? Because the contract can also specify important terms and conditions like the deposit amount and when it must be paid by.
Once the compromesso is signed by both parties in front of a notary, a deposit (usually 10%-20% of the agreed selling price) is paid by the buyer, as per the conditions laid out in the compromesso.

It’s worth noting that deposit types vary – “acconto, caparra confirmatoria, or caparra penitenziale” – impacting the situation quite differently if the purchase falls apart.
It’s also useful to remember that although a notary’s role and responsibility is legally defined, most only do strictly what’s required. With that in mind, cultivating a strong and amenable relationship is recommended.
